Boutique business law firm in the Loop is seeking an experienced Corporate Paralegal to support the Firm’s growing and dynamic practice. This individual will be engaged with corporate governance and mergers and acquisitions support, SEC and EDGAR filings, resolution drafting, and general paralegal and administrative needs within the legal department. The Paralegal will, from time to time, support other projects for the broader legal team. In addition to a minimum of 5 years of relevant experience, selected candidate must be a highly motivated self-starter with a demonstrated commitment to superior client service and excellence in communication who builds strong and effective work-relationships with clients and colleagues.
Applicants must possess excellent organizational, writing, proofreading, research and analytical skills as well as being highly detail-oriented and proficient in Microsoft Office suite.
Duties and Responsibilities:
- Assist in preparation and filing of SEC documents; including Form D filings.
- Prepare, file and maintain corporate charters.
- Prepare and file corporate dissolutions.
- Prepare and maintain corporate and institutional minute books.
- Assist with all aspects of corporate transactions including acquisitions, mergers and financings.
- Coordinate approvals and signatures of documents.
- Prepare, and/or assist in compiling board and committee materials and resolutions and coordinate approvals and signatures of documents.
- Prepare IRS SS-4 applications and obtain employer identification numbers.
- Respond to information requests from colleagues outside of the legal department; including research of legal matters and historical information from company records.
- Conduct UCC searches; prepare UCC forms.
- Review documents and transmit information and documents to outside counsel and organization personnel with minimal guidance from supervising attorney.
- Maintain professional growth and professional affiliations to keep abreast of latest developments in college and university law and in other related areas.
- Support other organization-wide and cross-institution/functional initiatives and projects as assigned.
- Liaison with agents and vendors to ensure invoice accuracy and updated contact records.
- Complete other duties as requested.
